1. Purpose
These terms and conditions govern access to and use of the website https://www.terravital.ca and the services offered, including free and paid subscriptions. By accessing the website or subscribing to a membership, you agree to these terms and conditions without reservation.
2. General Terms and Conditions of Sale
These General Terms and Conditions of Sale govern the contractual relationship between Terravital Inc. (Terravital) and its clients. Any signature of a quote, electronic confirmation, or payment of a deposit constitutes full and unconditional acceptance of these terms and conditions, unless otherwise agreed in writing. The signed quote constitutes a firm and binding agreement for the services described therein.
Prices are expressed in the currency indicated on the quote. Unless otherwise stated, prices are exclusive of applicable federal, state, and local taxes. Sales tax and any other applicable taxes will be added to the invoice in accordance with the laws of the state and local jurisdiction where the work is performed. Any changes in applicable tax laws or rates will be automatically reflected in the final amount due. Additional costs not reasonably foreseeable at the time the quote was prepared, and resulting from unforeseen site conditions or circumstances beyond the company’s reasonable control, may be adjusted upon prior notice to the client.
A deposit of thirty percent (30%) of the total contract amount, including applicable taxes, is due upon acceptance of the quote. The remaining balance is due upon completion of the work or upon issuance of the final invoice, unless otherwise specified in writing. Unless otherwise stated in the quote, invoices are payable within five (5) calendar days of the invoice date. Any late payment may accrue interest at the maximum rate permitted by applicable law or, if lower, at one and one-half percent (1.5%) per month, together with any reasonable costs of collection, including attorneys’ fees, to the extent permitted by law.
Delivery or completion timelines are estimates only and are not guaranteed. Timelines may be extended due to force majeure events, adverse weather conditions, unforeseen technical constraints, supply chain disruptions, delays attributable to the client, or any other cause beyond the company’s reasonable control. The company shall not be liable for delays arising from such circumstances.
The client agrees to provide safe, adequate, and unobstructed access to the worksite, as well as all information necessary for the proper execution of the services. The client warrants that all technical, structural, and administrative information provided is accurate and complete. The company shall not be responsible for any loss, damage, delay, or additional cost resulting from inaccurate, incomplete, or misleading information supplied by the client.
To the fullest extent permitted by law, the company’s liability is limited to direct damages arising from proven negligence in the performance of its services. The company shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to loss of profits, loss of business opportunities, business interruption, or data loss. In all cases, the total liability of the company shall not exceed the total amount paid under the relevant contract, unless otherwise required by applicable law.
Unless otherwise required by applicable state or federal law, clients do not have a statutory right of withdrawal once a quote has been accepted. Any cancellation or termination of services must be agreed upon in writing. If services have commenced, the client shall remain responsible for payment for all work performed, materials ordered, and costs incurred up to the date of termination.
All materials, deliverables, and work performed remain the property of the company until full payment of all amounts due has been received. In the event of non-payment, the company reserves the right to suspend performance, withhold deliverables, or terminate the agreement upon written notice, in addition to pursuing any other remedies available under applicable law.
These terms and any dispute arising out of or relating to the contract shall be governed by and construed in accordance with the laws of the state in which Terravital Inc. is registered, without regard to its conflict of laws principles. The parties agree to attempt in good faith to resolve any dispute through informal negotiations before initiating legal proceedings. If no resolution is reached, the state or federal courts located in the state of the company’s principal place of business shall have exclusive jurisdiction, except where mandatory consumer protection laws provide otherwise.
These terms and conditions may be updated from time to time. The version in effect on the date the quote or order is accepted shall govern the contractual relationship between the parties.

4. Access to the Site
The site is accessible free of charge to any user with internet access. Certain sections are reserved for registered or subscribed users. Terravital reserves the right to modify, suspend, or discontinue all or part of the site at any time without prior notice.
5. Account Creation
Access to certain services requires the creation of an account. The user agrees to:
Provide accurate and up-to-date information
Maintain the confidentiality of their login credentials
Be responsible for all activity carried out through their account
Terravital reserves the right to suspend or delete an account in the event of a violation of these terms and conditions.
6. Subscriptions
a) Free Subscription
The free subscription provides access to certain limited features and content, as well as newsletter signup.
b) Paid Subscription
Paid subscriptions provide access to additional content and services. The following conditions apply:
Prices are listed in CAD or the displayed currency
Payment is due in advance
Subscriptions are automatically renewed unless canceled
The user may cancel at any time, effective at the end of the current period
No refunds are issued for periods already commenced, except where required by law.
7. Newsletter
Subscribing to the newsletter or a waitlist is free. Users can unsubscribe at any time via the link in each email.
8. Content and Contributors
The site publishes editorial content produced by the editorial team and external contributors. Each author is responsible for their own statements. The opinions expressed in the articles do not necessarily reflect those of Terravital, its editorial team, or its partners.
9. Intellectual Property
All site content (texts, images, logos, videos, etc.) is protected by applicable intellectual property laws. Unless otherwise stated:
Any reproduction, distribution, or use without authorization is prohibited.
Access to the site does not confer any ownership rights.
10. Use of the Site
Users agree to use the site legally and in accordance with these terms. Specifically, it is forbidden to:
